Amended Memorandum of Association (Tahsas 2015 E.C.)
Tsehay BankAmharic amended memorandum of association of Tsehay Bank S.C., cover-dated Tahsas 2015 E.C., published to shareholders ahead of the Bank's 1st Extraordinary General Meeting, which the introduction records as having approved it. The introduction explains the reason for the amendment: the original memorandum and articles of association were approved by the founders' assembly in Yekatit 2013 E.C. under the 1960 Commercial Code and Banking Business Proclamations 592/2008 and 1159/2019, but the new Commercial Code (Proclamation 1243/2021) gives no express recognition to a separate articles-of-association document, so the two instruments had to be merged and the changes introduced by the new Code incorporated. It contains no shareholder register or other bulk personal data. The bank's file name marks the document a draft (ረቂቅ); the published date is the date it was uploaded to the Bank's website (10 December 2022), which matches the PDF creation date.
