Notice of the 3rd Ordinary General Assembly and Criteria for Nomination and Election of Members of the Board of Directors
Sidama BankSingle-page Amharic notice from the Board of Directors of Sidama Bank S.C. to all shareholders, announcing that the Bank will hold its 3rd Ordinary General Assembly of Shareholders on Hidar 21, 2017 E.C. (30 November 2024) at Haile Resort in Hawassa, at which an election of members of the Board of Directors will be held. Issued under Article 9.3 of National Bank of Ethiopia Directive No. SBB/91/2024, which requires the election criteria to be disclosed to shareholders one month before the election, the notice sets out the thirteen eligibility criteria for board candidates — among them being a shareholder of the Bank for two consecutive years, being at least 30 years of age, holding at least a first degree, having seven years' experience in banking, risk management, finance, accounting, management, economics, law, business administration, auditing, information technology, investment management or sustainable economic development, not being a board member or employee of another bank, not serving on the boards of more than four other institutions, and having no conviction for fraud, breach of trust, false financial statements or tax offences, no bankruptcy proceedings, no dishonoured cheque account closure and no loan default leading to foreclosure or a non-performing classification. Nine accompanying notes explain that one third of directors are nominated and elected by non-influential shareholders, one third nominated and elected by all shareholders and the remaining third independent directors nominated by the incumbent board, that at least two women must be elected, that a shareholder may nominate himself or herself, that a legal person may be elected provided its permanent natural-person representative is presented, and that up to two Bank employees other than the company secretary may be elected. The notice carries no printed issue date; the published date is the date the Bank uploaded the file to its website (WordPress media library date of 22 October 2024), about five weeks before the meeting.
