Amended Memorandum of Association
Oromia Insurance Company S.C.Scanned Amharic text of Oromia Insurance (S.C.)'s amended memorandum of association, dated Tahsas 2014 E.C. (December 2021) on the cover, Addis Ababa. The preamble records that it was restated under articles 255(15) and (16) and 400(1) of Commercial Code Proclamation No. 1243/2013 E.C., which required share companies to consolidate the separate articles of association into the memorandum, and to align the instrument with Insurance Business Proclamation No. 746/2004 E.C. and National Bank of Ethiopia directives; it took effect on approval by an extraordinary general meeting of shareholders. The articles cover the company's name, the head office (Kirkos sub-city, woreda 03, Addis Ababa), capital and shares, the general meeting, the board of directors and its committees, the appointment and powers of the general manager under article 341 of the Commercial Code, accounts, audit and reserves.
