Notice to Shareholders on the Board of Directors Election Process and Eligibility Criteria
Dashen BankAmharic notice from Dashen Bank S.C. to all shareholders announcing that, under National Bank of Ethiopia directive SBB/91/2024, the election of members of the Board of Directors will be held at the 33rd ordinary general meeting on Tikimt 19, 2019 E.C. (29 October 2026) at the Adwa Victory Memorial Museum, conducted by a board election committee elected on the day. One third of the candidates are to be nominated by non-influential shareholders, one third by all shareholders on the day of the meeting, and the remaining one third are independent directors recruited by the board through its nomination committee. Section 1 lists twenty criteria for candidates nominated and elected by shareholders, among them at least two years as a shareholder, willingness to serve, not being an employee of another bank, at least a first degree from a recognised institution, at least seven years' work experience in banking, finance, accounting, economics, law, management, engineering, IT, investment, ESG or related fields, not sitting on the board of another financial institution, and clean records on breach of trust, tax, bank-loan default, dishonoured cheques and corporate misconduct; the criteria also apply to the organisations that nominated board members represent. Section 2 states that independent candidates must meet the NBE and legal criteria and are put forward by the board through the nomination committee. Further notes: a shareholder may nominate himself or herself; at least two women must be elected; members of the election committee may not stand; serving directors may be re-elected in line with the NBE governance directive; board members, management and staff may not vote on behalf of shareholders; and a five-member interim election committee, at least two of whose members must be non-influential shareholders and none of whom may be a director or bank employee, will be elected on the day.
