The bundle reproduces the bank's commercial registration certificate and banking business licence, its memorandum of association and amendments, taxpayer registration, VAT and tax clearance certificates, a certified extract of the board of directors' minutes of 12 November 2025 authorising the offering, a certified extract of the annual general meeting minutes of 30 September 2025 authorising the capital increase, the National Bank of Ethiopia no-objection letter, the transaction advisor's valuation methodology report, an external independent legal opinion, written consents of D and T Ethiopia Management Consulting PLC (Deloitte), Tamrat Assefa Liban Law Office and Tewodros and Fikre Audit Services Partnership, evidence of the ETB 300,000 ECMA fee payment, the schedule of estimated offer expenses, the certified list of directors, schedules of material contracts and of pending claims and litigation, evidence of the subscription escrow account, and the Ethiopian Securities Exchange preliminary letter of approval. The valuation section records that the directors set an offer price of ETB 1,600 per share after considering the advisor's indicative valuation range as at the 30 June 2025 valuation date.
