Revised Memorandum of Association (2018 E.C.)
Ahadu BankAhadu Bank S.C.'s revised memorandum of association, in the executed and notarised copy bearing the Documents Authentication and Registration Service registration reference and the signatures of the board of directors. Its recital records that the shareholders approved the revision at the extraordinary general assembly held on Hidar 13, 2018 E.C. (22 November 2025), the revision being made to align the instrument with the Banking Business Proclamation 1360/2017 E.C., the Capital Market Proclamation 1248/2013 E.C. and National Bank of Ethiopia bank corporate governance directive SBB/91/2024, and with the opening of the banking sector to foreign entry and the move to market-based foreign exchange. Article 5 states subscribed capital of Birr 1,476,762,000.00 divided into 14,767,620 registered ordinary shares of Birr 100.00 each - the par value having been reduced from Birr 500 - of which Birr 1,129,130,220.69 is paid up in cash. Article 4 lists the bank's 22 business objects. The shareholder register referred to in Article 3 is an attached schedule and is not part of this file; the only names in the document are those of the twelve directors who executed it.
